Terms of Service

By downloading, installing, or using BinderFLEX^™ (“the app”), you agree to these Terms of Service (“Terms”). If you do not agree, do not install or use the app. FLEXEC Advisory LLC (“FLEXEC,” “we,” “us”) may update these Terms; the effective date above reflects the current version.

Upon purchase, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the app on up to five (5) devices that you own or control. The app is licensed, not sold. You may not:

• resell, sublicense, rent, lease, or redistribute the app or your license key;
• reverse engineer, decompile, or disassemble the app except where prohibited by applicable law;
• remove or alter any proprietary notices, branding, or trademarks; or
• share your license key publicly or use it to circumvent device limits.

Direct downloads of BinderFLEX^™ include a time-limited free trial. No payment method is required to start the trial. Purchases made through the Microsoft Store or Mac App Store do not include a trial.

Purchases made on binderflex.app are processed by Paddle.com, which acts as the merchant of record and reseller for our software. Paddle handles payment, invoicing, and applicable sales tax or VAT, and your purchase is also subject to Paddle’s terms and privacy notice. Purchases made through an app store are governed by that store’s terms. Prices are shown in your local currency where supported and may change at any time; changes do not affect licenses already purchased.

Refunds are governed by our Refund Policy.

BinderFLEX^™ is local-first: your document templates, generated documents, and the company and counterparty information you enter are stored only on your device and are never transmitted to us, other than the minimum information required to validate a license. You are solely responsible for safeguarding and backing up your data. See our Privacy Policy.

We may release updates, fixes, and new features at our discretion. We do not guarantee that any specific feature, roadmap item, or platform will be released, or that the app will be error-free or uninterrupted.

BinderFLEX^™ provides document templates for general business use. Templates are provided as a starting point only. They are not legal advice, are not a substitute for review by a qualified attorney licensed in your jurisdiction, and FLEXEC Advisory LLC does not review, warrant, or guarantee that any template or generated document is accurate, complete, enforceable, or suitable for your specific situation, industry, or jurisdiction. You are solely responsible for having any document reviewed by qualified counsel before relying on it or using it in a legal or business transaction.

BinderFLEX^™ is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, FLEXEC Advisory LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business outcomes arising from your use of the app or any document generated with it. Our total aggregate liability is limited to the amount you paid for your license.

Your license terminates automatically if you breach these Terms. On termination you must stop using the app and remove it from your devices. Your locally stored data remains yours and on your device.

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Florida, and you consent to that jurisdiction and venue.
